Single Member Private Limited Company — the single-shareholder variant of the Co. Ltd., set out in the Law on Commercial Enterprises 2005, articles 196 to 199. Often nicknamed “SARL unipersonnelle” by French speakers, by analogy with the French EURL.
How it differs from a regular Co. Ltd.:
- One shareholder only (natural person or legal entity)
- No assembly quorum — decisions recorded in writing
- Same accounting and tax obligations as a Co. Ltd.
- Same caps and registration steps through MoC + GDT + MLVT
Typical choice for foreign freelancers and consultants who want the limited liability of a Co. Ltd. without needing a second shareholder. Minimum capital: 4,000,000 KHR (~1,000 USD).
