Private Limited Company. The most common entity used by expats in Cambodia (~95% of foreign-owned companies). Governed by the Law on Commercial Enterprises (LCE) 2005, articles 86 to 224.
Key features:
- Minimum capital: 4,000,000 KHR (~1,000 USD), shares of at least 4,000 KHR each
- Shareholders: 2 to 30. The single-shareholder variant is the Single Member Private Limited Company
- Shareholder liability limited to their contributions
- Directors: one or more (need not be Cambodian), appointed by the shareholders
- 100% foreign ownership permitted except in reserved sectors (land, certain strategic activities)
