Public Limited Company (the Cambodian equivalent of a French société anonyme). The heaviest entity defined in the Law on Commercial Enterprises 2005, articles 225 to 271. Rarely used by expats — reserved for large groups or companies that need to raise capital from the public.
Key features:
- Minimum capital same as a Co. Ltd.: 4,000,000 KHR (~1,000 USD), but in practice much higher for viability
- Shareholders: at least 2, no upper limit (vs 30 for a Co. Ltd.)
- Board of directors required (3+ directors)
- Can issue shares to the public (listing on the Cambodia Securities Exchange is possible)
- Heavier compliance: mandatory external auditor, annual general meeting
99% of expats pick a Co. Ltd. instead — the PLC only makes sense if you plan a public raise or need a board with independent directors.
